Smith-Atlas Contract Redline Direct (SA-1009-V1) (Enterprise License)
⚡ Leverage AI to improve your operations. See the description below for more details.
Contract review that comes back as a real Word redline — not a summary of one.
Attach your contract, name your playbook, and get your own .docx back with native tracked changes and margin comments. The mark ups are against your organization's positions exactly as an attorney or contracting professional would do it in Word's Review pane. Accept or reject each change one at a time, the way you already work.
Built by an attorney and contracts professional for the people who do this work every day: research administrators, procurement and purchasing offices, contract managers, and the small businesses negotiating with them.
What it does
Produces real tracked changes. Every edit is a genuine Word revision that is accept/reject-able, attributed, reversible. Not colored text pretending to be a redline. Not a chat window full of advice you then implement by hand.
Returns your document, not a retyped copy. It edits your file in place: formatting, numbering, tables, and every word it isn't deliberately changing pass through untouched. A built-in validation gate mechanically proves it, and rejecting every tracked change reproduces your original exactly. Inserted text matches your contract's own font and heading style.
Marks up the way a lawyer or contracting professional does. It amends the section that already covers a topic instead of bolting a contradictory clause onto the end. Liability caps land inside your liability section as a proviso. It strikes the fewest words necessary rather than gutting whole paragraphs. New clauses go beside the terms they relate to.
Never drops anything silently. Any change it can't apply cleanly becomes an "ACTION NEEDED" margin comment containing the full suggested language, so you can place it yourself. You always see everything it wanted to do.
Applies your rules, not generic ones. Every legal position comes from a playbook. Six are included: revenue services, sponsored research, expense services (general, SaaS, and software), and mutual NDAs.
What it does not do
We would rather you know this before you buy.
It is not a lawyer, and its output is not legal advice. Every redline is AI-generated and must be reviewed by a qualified attorney or contracting professional before any contract is finalized or executed. It does not create an attorney-client relationship.
The playbooks are a starting point, not your positions. The included playbooks reflect common contracting postures, and they are written to be edited. Before relying on them, coordinate with your own legal counsel and contracting professionals to adapt each playbook to your organization's requirements, risk tolerance, and governing law. A playbook you haven't reviewed is a playbook you haven't approved.
It does not decide your legal positions. It enforces the ones written in the playbook. If your position isn't in the playbook, the tool won't invent it.
It does not renumber your sections. Where a contract uses typed (non-automatic) numbering, new sections are inserted unnumbered and flagged for you because a wrong number silently breaks every cross-reference in the document.
It will not catch everything. It reviews against your playbook's rules. A human still has to read the contract.
It is not a hosted service. It runs inside your own AI assistant subscription. We operate no server, and we never see your contracts.
Built for security-conscious organizations
No network access required. The tool runs entirely inside your AI provider's sandboxed environment and works with network egress disabled completely. Your contracts never leave it.
No third-party servers, no external calls, no vendor backend at runtime.
Auditable code. The applier is plain, readable, dependency-free Python your IT team can review line by line. Its SHA-256 fingerprint is verified before every run; a mismatch halts the tool rather than executing unverified code.
Fail-safe by design. When it cannot do something correctly, it stops and tells you — it does not guess.
What you'll need
A subscription to a code-capable AI assistant (Claude, ChatGPT, and similar tools) with code execution and file creation enabled. Verify that your AI assistant can perform these actions; if not, Smith-Atlas Contract Redline Direct - Lite for Large Business (SA-1010-V1) is a better choice for you.
Word (.docx) contracts work best; PDFs are supported. Setup takes about ten minutes and is covered step by step in the included instructions.
What's included
Six contracting playbooks · the redline engine · the assistant instructions and process file · an optional accelerator for Claude using Claude Skills · setup-and-use documentation.
License, coupon, updates, and refunds
License. A perpetual, enterprise-wide license to this version (SA-1009-V1) for your internal business use, under the Terms of Service. One-time payment: no subscription, no renewal fee. You may adapt the playbooks and instructions for your own AI tools and your own contracting positions. You may not resell, sublicense, or distribute them outside your organization.
Coupon. If your organization can certify that it is a small business under the applicable North American Industry Classification System (NAICS) code OR that it is a Carnegie Research 2: High Spending and Doctorate Production (R2) or smaller higher education institution, you can use the "Certified-Small-Organization" coupon code at checkout for a 40% discount.
Updates. Any updates we release to this version within twelve months of your purchase are yours at no charge. After twelve months, the software keeps working; we simply won't be issuing further updates or support for it. Because the tool runs on third-party AI platforms that change over time, continued compatibility beyond that window is not guaranteed.
Refunds. Full refund within 30 days of purchase, for any reason. Email matt@smith-atlas.com.
Provided AS-IS. See the Terms of Service for the complete terms, including warranty disclaimers and limitation of liability.
Public institutions: §9.1 and §12.1 of the Terms of Service address sovereign immunity and venue.
